Terms of Service

1. Definitions

In these terms:

• Platform: the Kadova SaaS platform for gift card management, (web) shops, business orders, franchise and settlement processes, reporting, API, background processing and mobile app
• Customer: the organisation that subscribes or is otherwise a Kadova customer
• User: a person using the platform on behalf of the customer
• Services: all features offered via the platform under the chosen plan and any add-on modules
• Data Processing Agreement (DPA): the agreement at /legal/dpa, part of these terms

2. Services

Kadova provides a cloud platform for issuing, managing, selling and redeeming gift cards, running online sales channels, business order and invoicing processes, and related reporting and integrations. Available features depend on the chosen subscription.

3. Subscription and trial

New customers may start with a 7-day free trial without payment or credit card. After that, a 7-day read-only period follows to activate a subscription or pay an outstanding platform invoice. Without an active subscription or valid billing agreement the account is paused. Subscriptions are billed monthly or annually per the chosen plan. Commercial onboarding or an accepted quote may include different trial, billing or payment terms as agreed in writing.

4. Payment

Platform invoices for your Kadova subscription and related charges are issued by us. Consumer payments in your shop use your configured shop payment settings and remain your responsibility. You may pay platform invoices by: (a) online payment via Stripe or Mollie (e.g. card, iDEAL, Bancontact) where available; (b) bank transfer to the IBAN and payment reference on the invoice (SEPA QR on the PDF where enabled); (c) payment within agreed terms for commercial onboarding or an accepted quote; (d) a linked payment method or direct-debit mandate when signing up for immediate subscription. Kadova may register payment administratively after receiving a bank transfer. Prices exclude VAT unless stated otherwise. Late payment may lead to reminders, read-only access and eventual suspension under our dunning process.

6. Datenverarbeitung und AVV

Für personenbezogene Daten, die Sie über die Plattform verarbeiten (z. B. Gutscheininhaber, Shop-Besucher), handelt Kadova als Auftragsverarbeiter und Sie als Verantwortlicher. Der AVV unter /legal/dpa ist integraler Bestandteil dieser Bedingungen und deckt Sicherheit, Unterauftragsverarbeiter, Verstöße und Kündigung ab. Mit der Nutzung der Plattform akzeptieren Sie den AVV.

8. Responsibility towards consumers

You are responsible for the content and compliance of your own privacy policy and terms towards consumers who purchase via your shop or channels. You configure and manage shop payment providers (e.g. Stripe Connect or Mollie) and are responsible for your commercial relationship with consumers. Kadova provides technical means (checkout disclaimer, tenant-specific URLs) but does not define your legal relationship with consumers.

9. Verfügbarkeit (kein SLA)

Kadova strebt eine hohe Verfügbarkeit an, Standardtarife enthalten jedoch keine vertraglichen Verfügbarkeitsgarantien oder Service-Gutschriften. Wir streben intern eine Verfügbarkeit von 99,5 % pro Monat an. Enterprise-Kunden können separate SLAs vertraglich vereinbaren.

7. Liability

Limited to fees paid in prior 12 months.

8. Termination

Cancel monthly via the platform.

9. Changes

30 days notice for material changes.

10. Law

Dutch law applies.
